Terms of Service
Last updated: November 1, 2026
These Terms are the agreement between GOAL PASS LLC, a New Mexico limited liability company with its principal place of business at 6407 Magnolia St, Milton, FL 32570 ("we", "us"), which provides the Goal Pass Creative service, and the business that buys our services ("you"). You accept them when you pay for a plan, confirm them in writing, or sign an order that refers to them.
The main points
- Your plan renews every month and is charged in advance until you cancel in writing.
- Fees for a month that has started aren't refundable, except as these Terms or the law say.
- We don't guarantee sales, return on ad spend or any other result.
- You're responsible for what your ads claim. Sections 8, 10 and 11 limit our liability.
1. Business use only
Our services are for businesses. By accepting these Terms you confirm that you're buying for a business and that you have authority to bind it. We don't sell to consumers.
2. The service
- Your order. Your plan, price and monthly number of videos are the ones shown on your order. An order is our invoice, checkout page or written proposal.
- Videos. Each month we script, produce and edit the videos in your plan. They usually run 15 to 45 seconds, in 9:16, 4:5 or 1:1.
- Concepts and variations. Each video is a distinct concept, with its own angle and script. Hook and format variations of a concept cost nothing extra, up to the number we agree at kickoff.
- Languages. Adapting a video to another language counts as one video.
- Not included. We don't manage campaigns or buy media, and we don't do live-action shoots or unlimited changes.
3. Your materials and approvals
- Materials. You give us a brief and the product details, logos, footage and other materials we reasonably need. You confirm you have the right to let us use them, and you keep ownership of them.
- Script approval. We don't start producing a video until you approve its script.
- Changes. Each video includes one round of minor changes. A change to an approved script or concept counts as a new video.
- Acceptance. You have 5 business days to review a delivered video. If we don't hear from you in that time, the video is accepted.
- Delays. Delivery dates move day for day with any delay in your materials or approvals.
4. Fees, renewal and cancellation
- Fees. You pay the monthly fee in US dollars, in advance, through the payment method we designate. Fees don't include any taxes that apply.
- Automatic renewal. Your plan renews every month at the same price and we charge you on each billing date until you cancel.
- Cancellation. You can cancel at any time by writing to info@goalpassgroup.com before your next billing date, and you won't be charged again. We finish the videos for the month you've already paid for.
- Refunds. Fees for a month that has started aren't refundable, including partial months, downgrades and videos you didn't use, except where the law requires it.
- Unused videos. Videos you don't use in a month don't roll over unless we agree in writing.
- Price changes. We'll give you at least 30 days' notice of a price increase. It applies from your next renewal after that notice, so you can cancel first if you don't agree.
- Late payment. We may pause work while any amount is overdue.
- Payment disputes. If you think a charge is wrong, write to us first so we can fix it. Fees you've reversed through your bank remain owed if the charge was valid, and your rights in the videos they covered don't apply until they're paid.
5. Free sample ads
A free sample ad carries no obligation for either side and stays watermarked. It's for your review only: you may not run it. You receive the clean file only after becoming a paying client, and we keep all rights in it until then.
6. Who owns what
- Your videos. Once you've paid for a video in full, we assign to you all our right, title and interest, if any, in that video, so you can use it in your advertising and marketing without further payment to us. Until then we keep those rights.
- Licensed assets. Voices, music, avatars, stock and other third-party assets in a video stay under their own license terms. We'll tell you about any material limit before delivery.
- AI-generated material. Material generated by AI may not qualify for copyright protection, and it may not be unique: other people may receive similar output from the same tools. We can't promise exclusivity over it.
- Our materials. We keep our methods, prompts, templates and tools.
- Portfolio. We may show delivered videos and your name in our portfolio unless you tell us in writing not to.
7. AI and third-party tools
We use AI tools in production. People write and review the scripts, edit the videos and check each one before delivery. We pass your materials to these tools and our other providers only as needed to make your videos, so please don't send us your customers' personal data or anything you can't share with a provider. AI output can be inaccurate, so you're responsible for reviewing every script and video before you use it.
8. Your ads
- Claims. You're responsible for the truth of every product claim you supply or approve, and for having evidence for it.
- Real people. If you ask us to use a real person's name, image or voice, you confirm you have that person's written consent.
- No fake endorsements. We won't invent reviews or testimonials, or present an avatar as a real customer.
- Projects we decline. We may refuse any script, claim or project we believe is illegal, misleading or against an ad platform's rules.
- Platform review. We check claims against Meta's ad policies before delivery, but we don't promise that Meta or any other platform will approve an ad.
- Running the ads. You decide how you publish the videos and you're responsible for that, including any disclosure the law or a platform requires.
9. No guarantee
We don't guarantee sales, return on ad spend or any other advertising result.
EXCEPT AS THESE TERMS EXPRESSLY STATE, THE SERVICES AND VIDEOS ARE PROVIDED "AS IS", AND WE DISCLAIM ALL OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE EXTENT THE LAW ALLOWS.
10. Limit of liability
NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE OR AD SPEND. EACH PARTY'S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE FEES YOU PAID US IN THE 3 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.
These limits don't apply to your payment obligations, to your obligations under Section 11, or to anything the law doesn't allow us to limit.
11. Indemnity
You'll defend us and hold us harmless against third-party claims, including reasonable attorneys' fees, that arise from your materials, the claims you supply or approve, how you publish the videos, or your breach of these Terms.
12. Confidentiality
Each of us will protect the other's non-public information and use it only for this agreement. This doesn't cover information that's public, or that the law requires us to disclose.
13. Ending the service
- Either of us may end this agreement for a material breach not fixed within 10 days of written notice.
- If we stop the service when you're not in breach, we'll refund any videos you've paid for and we haven't delivered.
- We keep your project files for 90 days after the service ends, and we may delete them after that. Sections 6 and 9 to 15 continue after the service ends.
14. Disputes
- Talk first. Before starting any legal claim, write to info@goalpassgroup.com and give us 30 days to try to resolve it with you.
- Governing law. New Mexico law governs these Terms, without regard to its conflict-of-law rules.
- Courts. Any legal action goes to the state or federal courts located in New Mexico. Either of us may instead use small claims court if the claim qualifies.
- Individual claims. Claims may only be brought individually, not as a class or representative action, and to the extent the law allows, each of us waives a jury trial.
15. General
- Changes to these Terms. We may update these Terms. We'll email you at least 30 days before a material change applies to you, and it applies from your next renewal after that notice. If you don't agree, you can cancel before then.
- Notices. Notices go by email: to info@goalpassgroup.com for us, and to the contact on your order for you.
- Independent contractor. We're an independent contractor and may use subcontractors and tools.
- Events outside our control. Neither of us is liable for delays caused by events beyond reasonable control, including outages or changes at the tools and platforms we depend on. This doesn't excuse payment.
- Transfers. You may not transfer this agreement without our written consent. We may transfer it as part of a sale or reorganization of our business.
- Whole agreement. These Terms and your order are our whole agreement. If they conflict, your order controls. A signed agreement between us replaces these Terms. If part of these Terms can't be enforced, the rest still applies.
- Language. We provide a Spanish translation for convenience. If the two versions differ, this English version controls.
